1. Acceptance of Terms

By creating an account, accessing, or using RepEdge.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and RepEdge.ai. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

RepEdge.ai is an AI-powered sales call analysis platform that provides:

• Automated transcription and analysis of sales call recordings
• AI-generated insights including talk-to-listen ratios, objection handling scores, and win probability predictions
• Performance metrics based on sales methodologies (MEDDPICC, BANT, Challenger Sale, Value-Based Selling)
• Manager dashboards and team performance analytics
• CRM integrations with Salesforce and HubSpot
• Coaching recommendations and call insights

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Eligibility

3.1 Account Creation

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

4. Free Trial

4.1 Trial Period

We offer a 10-day unlimited trial to new users. During the trial period:

• You have full access to all Service features
• You can upload and analyze unlimited call recordings
• No credit card is required to start the trial
• The trial begins immediately upon account creation

4.2 Trial Conversion

At the end of the 10-day trial period:

• If you do not subscribe to a paid plan, your account access will be restricted
• You will receive email reminders before your trial expires
• To continue using the Service, you must subscribe to a paid plan
• Your data will be retained for 30 days after trial expiration, after which it may be deleted

4.3 One Trial Per User

Each user is entitled to one free trial. Attempts to create multiple accounts to receive additional trials may result in account suspension or termination.

5. Subscription Plans and Pricing

5.1 Subscription Plans

We offer the following subscription plans:

• Monthly Plan: $85 per user per month, billed monthly
• Annual Plan: $65 per user per month, billed annually ($780 per user per year)

All prices are in USD unless otherwise stated. Pricing is subject to change, but changes will not affect your current subscription period.

5.2 Seat-Based Pricing

Subscription fees are calculated based on the number of active users (seats) in your organization. You can add or remove seats at any time, and billing will be prorated accordingly.

5.3 Payment Terms

Payment is processed through our payment processor, LemonSqueezy. By subscribing, you authorize us to charge your payment method for:

• Monthly subscriptions: Recurring monthly charges
• Annual subscriptions: One-time annual charge
• Additional seats: Prorated charges based on remaining billing period

5.4 Price Changes

We reserve the right to modify pricing at any time. Price changes will not affect your current subscription period but will apply to renewals. We will provide at least 30 days' notice of any price increases.

6. Billing and Renewal

6.1 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. You authorize us to charge your payment method for each renewal period.

6.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the period you have paid for.

6.3 Refunds

We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied within the first 30 days of a paid subscription, contact us for a full refund. Refunds are not available for:

• Subscriptions cancelled after 30 days
• Partial billing periods
• Annual subscriptions after the first 30 days

6.4 Failed Payments

If payment fails, we will attempt to charge your payment method again. If payment continues to fail, we may suspend or terminate your subscription. You remain responsible for any outstanding charges.

7. Acceptable Use

7.1 Permitted Use

You may use the Service only for lawful business purposes and in accordance with these Terms. You agree to:

• Upload only call recordings for which you have proper authorization
• Comply with all applicable laws and regulations
• Respect the intellectual property rights of others
• Maintain the security and integrity of the Service

7.2 Prohibited Activities

You agree not to:

• Upload call recordings without proper consent from all parties
• Use the Service to violate any laws or regulations
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service (except authorized APIs)
• Share account credentials or allow unauthorized access
• Upload malicious code, viruses, or harmful content
• Use the Service to infringe on intellectual property rights
• Create multiple accounts to circumvent trial limitations

8. Intellectual Property

8.1 Service Ownership

The Service, including all software, designs, text, graphics, and other content, is owned by RepEdge.ai and protected by copyright, trademark, and other intellectual property laws. You receive no ownership rights in the Service.

8.2 Your Content

You retain ownership of call recordings and other content you upload ("Your Content"). By uploading Your Content, you grant us a license to:

• Store, process, and analyze Your Content to provide the Service
• Generate insights, transcripts, and analysis based on Your Content
• Use aggregated, anonymized data to improve our AI models and services

You represent and warrant that you have all necessary rights to grant this license and that Your Content does not violate any third-party rights.

8.3 AI-Generated Insights

AI-generated insights, analysis, and recommendations are provided for your use. We retain rights to our AI models and methodologies, but you own the specific insights generated from Your Content.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

You are responsible for ensuring that:

• You have proper consent to record and analyze calls
• You comply with applicable privacy laws (including GDPR, CCPA) when using call recordings
• You inform all parties that calls may be recorded and analyzed

10. Third-Party Integrations

The Service may integrate with third-party services (e.g., Salesforce, HubSpot, Zapier). Your use of these integrations is subject to:

• Your agreement with the third-party service provider
• Our integration terms and limitations
• Your authorization for us to access and sync data with these services

We are not responsible for the availability, accuracy, or functionality of third-party services. Integration issues do not entitle you to refunds or service credits.

11. Service Availability and Support

11.1 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance
• Technical issues or outages
• Force majeure events
• Third-party service disruptions

11.2 Support

We provide email support to all users. Priority support is available to paid subscribers. Support response times may vary based on your subscription plan.

12. Disclaimers and Limitations of Liability

12.1 Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy of AI-generated insights

12.2 AI Analysis Disclaimer

AI-generated insights, win probability scores, and recommendations are provided for informational purposes. They should not be the sole basis for business decisions. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.

12.3 Limitation of Liability

To the maximum extent permitted by law, RepEdge.ai shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from use or inability to use the Service
• Damages exceeding the amount you paid us in the 12 months preceding the claim

13. Indemnification

You agree to indemnify and hold harmless RepEdge.ai, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or any content you submit through the Service

14. Termination

14.1 Termination by You

You may terminate your account at any time by cancelling your subscription and deleting your account through account settings or by contacting support.

14.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Payment fails and remains unresolved
• We discontinue the Service

14.3 Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases
• We may delete your account and data (subject to our Privacy Policy)
• You remain liable for any outstanding charges
• Provisions that by their nature should survive termination will remain in effect

15. Changes to Terms
